Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SignalStack API, website, and related services (collectively, the "Service"). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
SignalStack provides a verification API that enables AI agents and applications to verify business data, documents, media, and claims across multiple data sources. The Service returns trust scores, evidence chains, and auditable verification results. SignalStack reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to customers.
3. User Obligations
3.1 Account Registration
You must provide accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your API keys and account credentials. You must notify us immediately of any unauthorized use of your account.
3.2 Acceptable Use
You agree to use the Service in compliance with our Acceptable Use Policy and all applicable laws and regulations. You may not use the Service for any illegal, fraudulent, or unauthorized purpose. You may not attempt to reverse engineer, decompile, or extract the source code of the Service.
3.3 Compliance with Laws
You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and third-party rights, including data protection laws, intellectual property laws, and export control regulations.
4. API Usage and Rate Limits
Your use of the API is subject to rate limits based on your plan (Starter: 5,000 calls/month, Business: 50,000 calls/month, Enterprise: unlimited). We may temporarily suspend or throttle access if usage exceeds reasonable limits or threatens the stability of the platform. We will make commercially reasonable efforts to provide notice before throttling.
5. Payment Terms
5.1 Fees
You agree to pay all fees associated with your chosen plan. Fees are billed monthly in advance and are non-refundable except as expressly stated in these Terms. Enterprise plans are billed according to the terms in your enterprise agreement.
5.2 Payment Processing
All payments are processed through Stripe, our third-party payment processor. By providing payment information, you authorize Stripe to charge your selected payment method on the billing cycle specified in your plan.
5.3 Late Payments
If payment is not received within 15 days of the due date, we may suspend or terminate your access to the Service. Late payments may incur interest at the rate of 1.5% per month or the highest rate permitted by law, whichever is lower.
5.4 Taxes
You are responsible for all taxes, duties, and government charges associated with your use of the Service, excluding taxes based on SignalStack's net income.
6. Intellectual Property
6.1 Our IP
SignalStack retains all right, title, and interest in and to the Service, including its API, software, documentation, algorithms, trust scoring models, data source integrations, and any derivative works. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.
6.2 Your IP
You retain all rights to the data, content, and materials you submit to the Service ("Your Data"). You grant SignalStack a limited, non-exclusive license to process Your Data solely for the purpose of providing the Service to you. We do not train models on Your Data.
6.3 Feedback
Any suggestions, feature requests, or other feedback you provide about the Service may be used by SignalStack without obligation or compensation to you.
7. Data Protection and Privacy
Our collection, use, and processing of your personal and API data is governed by our Privacy Policy and, where applicable, our Data Processing Agreement (DPA). By using the Service, you consent to the data practices described in these documents.
8. Limitation of Liability
8.1 No Consequential Damages
To the maximum extent permitted by applicable law, neither SignalStack nor its suppliers, employees, or affiliates shall be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, business interruption, or reputational harm, arising out of or related to your use of the Service.
8.2 Cap on Liability
SignalStack's total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount paid by you to SignalStack in the 12 months preceding the claim. This limitation applies regardless of the theory of liability (contract, tort, negligence, or otherwise).
8.3 Service Disclaimer
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including merchantability, fitness for a particular purpose, and non-infringement. SignalStack does not guarantee that verification results are accurate, complete, or timely. Verification results are provided as informational signals and should not be the sole basis for decisions without human review.
9. Indemnification
You agree to indemnify, defend, and hold harmless SignalStack, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) Your Data or your violation of any third-party rights; or (c) your violation of applicable laws.
10. Termination
10.1 Termination by You
You may terminate your account at any time through the dashboard or by contacting support@signal-stack-ten.vercel.app. Upon termination, your access to the Service will be immediately disabled.
10.2 Termination by SignalStack
We may suspend or terminate your access to the Service at any time for: (a) violation of these Terms or our Acceptable Use Policy; (b) non-payment of fees; (c) conduct that could harm SignalStack, our users, or third parties; or (d) as required by law. We will provide at least 7 days' notice for non-critical violations when reasonably possible.
10.3 Effects of Termination
Upon termination, your right to use the Service ceases immediately. Your Data will be retained for 30 days after termination and then deleted unless otherwise required by law. We are not liable for any loss of data or any other consequences resulting from termination.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in San Francisco, California. You consent to the personal jurisdiction of these courts.
12. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days in advance. Your continued use of the Service after the effective date of the changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you may terminate your account before they take effect.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and SignalStack regarding the Service.
13.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13.3 Waiver
Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. SignalStack may assign these Terms in connection with a merger, acquisition, or sale of assets.
